Nalekur Terms of Sale

Effective date: October 9, 2026 (version 2)

These terms apply when you buy a downloadable template from nalekur.com. Please read them before you pay. Our Refund Policy, Privacy Policy and Copyright and Licence Notice (below) are part of these terms.

1. Who you are buying from

Nalekur is a trading name of MBM INDUSTRIES LIMITED, a private company with limited liability incorporated in Hong Kong ("we", "us", "our"). Business address: Room 2107, 21/F., C C Wu Building, 302-308 Hennessy Road, Wanchai, Hong Kong. We make the templates and license them to you. Contact: support@nalekur.com. Support is in writing by email only. We reply in writing within 2 working days.

Who processes your order. Your order is processed by Lemon Squeezy (Lemon Squeezy, 222 South Main Street, Suite 500, Salt Lake City, Utah 84101, USA), our reseller and merchant of record. This means you buy and pay through Lemon Squeezy: it takes your payment and card details, calculates and collects sales tax where required, issues your receipt, gives you your download link, and handles refunds and payment disputes. We never see or store your full card number. Your purchase is also covered by Lemon Squeezy's Buyer Terms (lemonsqueezy.com/buyer-terms), and Lemon Squeezy uses your information under its own privacy policy (lemonsqueezy.com/privacy). If the Buyer Terms and these terms differ, the Buyer Terms apply to payment, tax, receipts, refund processing and payment disputes, and these terms apply to the licence, the template files, delivery and our support.

2. What we sell

We sell one-time digital downloads: spreadsheet templates delivered as .xlsx files (a bundle is one .zip file containing a separate .xlsx file for each template and a short README). Our templates are designed for Google Sheets and Excel, with instructions inside. In Google Sheets you open a file by uploading or importing it. Each purchase is a single payment. Nothing renews, there is no subscription, and we will not charge you again unless you place a new order.

Some templates are designed with the help of AI tools. Templates contain invented sample data so you can see how they work; you clear it and enter your own.

Descriptions and screenshots on the site show what each template does. Because spreadsheet apps and versions differ, a template may look or behave slightly differently in other apps, versions or regional settings (for example, where a comma is used as the decimal mark). If a template does not work as described in Google Sheets or Excel, it counts as faulty or not as described under our Refund Policy.

3. Who can buy

US customers only. Currently available to customers in the United States. Worldwide availability coming soon. If an order has a billing address outside the United States, or is placed by mistake from outside the United States, we will cancel it and refund you in full through Lemon Squeezy. This applies whether or not you have downloaded the file. Worldwide availability is our intention, not a commitment to any date.
You must be 18 or older (or the age of majority where you live) to buy.
We do not sell to anyone prohibited from receiving our products under applicable sanctions or export laws.

4. Price, tax and payment

Prices are in US dollars and are shown before you pay. If sales tax applies to your order, Lemon Squeezy, as merchant of record, adds it at checkout based on your billing details and shows the total before you pay. Lemon Squeezy collects and pays that tax. We do not add other fees.
You pay in full when you place the order. By ordering you confirm that you are allowed to use the payment method.
If we made an obvious pricing error, we may cancel the order and refund you in full. We will tell you in writing.
Prices may change. A change does not affect an order you have already paid for.

5. Receipts

After payment, Lemon Squeezy emails a receipt to the email address you entered at checkout. The receipt shows your order details and includes a link to download your file. Please keep it: it shows the order number we ask for when you write to us.

6. Delivery

Delivery is electronic. Nothing is shipped. After payment, Lemon Squeezy shows your order page with a link to download your file, and the receipt email it sends you contains the same download link. You can also get your files later by signing in to your Lemon Squeezy orders page (app.lemonsqueezy.com/my-orders) with the email address you used to buy. A download link may work only for a limited time or number of downloads, as set by Lemon Squeezy. Keep your own copy of the file.

If something goes wrong. If your receipt does not arrive within a few minutes, check your spam folder. If you still cannot find it, or your download link does not work or has expired, email support@nalekur.com from the email address you used to buy and include your order number (shown on your receipt). We will check your order and help you get your file. If a file will not open, tell us and we will fix it or send a replacement.

Delivery records. We and Lemon Squeezy may keep a record of when your files are delivered or downloaded (date and time). We use it to confirm delivery, to answer support and refund requests, and to respond to payment disputes.

7. Your licence

When you buy, we grant you a personal, non-exclusive, non-transferable licence to use the template for your own personal use, or in one business or freelance practice that you own or run. This clause is a summary. Our Copyright and Licence Notice forms part of these terms and says the same thing in more detail.

You may:

use it for yourself, or for your own single business or freelance work, including entering your own clients' figures as part of your normal work;
edit it freely for those uses;
keep copies for your own backup, on your own accounts and devices.

You may not:

resell, share, give away, upload, post, publish or distribute the template or any copy of it, whether edited or not (this includes sharing your download link);
include it in, or sell it as part of, another template, bundle, course or product;
use it, or any part of it, to create, build or sell a competing template product;
present it as your own work, or remove copyright or other notices;
use it, or put it into any tool, to train or build an AI model or dataset;
use our name to promote your own products.

One purchase licenses one person. If several people will use it, each needs their own licence. We do not offer a separate commercial or agency licence at present.

You get a licence, not ownership. We and our licensors keep all rights in the templates, instructions, site content and the Nalekur name. If you breach this section, we may end your licence by written notice, and you must then stop using and delete the template.

8. Not professional advice

Our templates are general organising tools. They are not accounting, tax, legal or financial advice and do not replace a qualified professional. Rules differ by place and change over time. Sample figures and any estimate or percentage in a template are examples or your own assumptions, not advice about your situation. We make no promise about income, savings, tax outcomes or business results. You are responsible for checking the formulas and figures against your own records and for taking professional advice before relying on a template for taxes, filings or business decisions.

Our templates are not affiliated with, or endorsed by, Google or Microsoft. Google Sheets and Excel are trademarks of their owners.

9. Refunds

Because our templates are digital downloads that cannot be returned, there are no refunds for change of mind once you have downloaded the file. If you have not downloaded it, you can ask for a full refund in writing within 7 days of payment. If the file is faulty or not as described, we will fix it, replace it or refund you. If you were charged twice or without your permission, we refund the charge. The details are in our Refund Policy.

Our refund rule is shown on our site above the Buy now buttons, with links to these terms and our Refund Policy, before you go to checkout. Refunds are issued through Lemon Squeezy, our reseller and merchant of record, to your original payment method, on our instruction. Lemon Squeezy's Buyer Terms also deal with refunds; where they differ from our Refund Policy, we will still ask Lemon Squeezy to refund you in the cases our Refund Policy sets out. Nothing in these terms limits any refund, repair, replacement or other right you have under the law where you live.

10. Our responsibility

We take care in making the templates, but a spreadsheet can contain mistakes, and we provide it "as is" and "as available". To the fullest extent the law allows, we do not make promises that a template will meet your particular needs or be error-free, and we exclude any implied warranties.
To the fullest extent the law allows, we are not liable for indirect or consequential loss, lost profits or revenue, lost data, or tax, penalty or filing consequences that result from relying on a template.
To the fullest extent the law allows, our total liability to you for any claim about a template or your order is limited to the price you paid for that template.
Nothing in these terms excludes or limits liability that cannot lawfully be excluded or limited, including liability for fraud or for death or personal injury caused by negligence, or any rights you have as a consumer that cannot be waived. Some states do not allow certain exclusions or limits, so some of this section may not apply to you.

11. Your responsibility

Use the template lawfully and keep your copy safe. You are responsible for your own data and for backing it up. Please tell us promptly if you think someone has copied or shared our templates.

12. Problems, complaints and payment disputes

If something is wrong, please email support@nalekur.com first and tell us what happened, with your order number (shown on your receipt). We will try to fix it quickly. This does not take away your right to dispute a charge with your card issuer or bank. Lemon Squeezy, as merchant of record, handles payment disputes, and its Buyer Terms ask you to contact Lemon Squeezy before you dispute a charge with your bank. If a charge is disputed, we may give Lemon Squeezy and your card issuer our order and delivery records and our messages with you.

13. Governing law and where disputes are heard

These terms and any dispute about them are governed by the laws of Hong Kong. The courts of Hong Kong have non-exclusive jurisdiction. Nothing in these terms limits any right you have under the mandatory consumer laws of the place where you live, and nothing here stops you from bringing a claim in the courts of that place where the law gives you that right. If you are a consumer in the United States, you may bring a claim in the courts of the state where you live. Your payment to Lemon Squeezy, and its receipt, tax, refund and payment-dispute handling, are covered by Lemon Squeezy's Buyer Terms, which have their own governing-law clause.

14. Changes to these terms and to the site

We may update these terms. The version that applies to your order is the one shown on the site when you paid. We may change, withdraw or add templates at any time; this does not affect orders already paid for.

15. General

These terms, with the Refund Policy, Privacy Policy and Copyright and Licence Notice, are the whole agreement between you and us about your purchase.
If part of these terms is found unenforceable, the rest still applies.
We may not be able to perform if something beyond our reasonable control happens, such as an internet, hosting or payment-provider outage.
You may not transfer your licence to anyone else. We may transfer our rights and duties to a successor of our business, and we will tell you if that affects you.
Notices to you are sent to the email address on your order. Notices to us go to support@nalekur.com.

Nalekur Copyright and Licence Notice

This notice covers the content of nalekur.com and the template files you download from us. It is part of our Terms of Sale. Where this notice and the Terms of Sale both deal with the licence, they are meant to say the same thing; if they ever differ, the Terms of Sale decide.

1. Who owns what

MBM INDUSTRIES LIMITED, trading as Nalekur, owns, or has the right to use, everything on nalekur.com and in the template files: the text, instructions, layouts, formulas, designs, images, logos, file structure and the Nalekur name. Buying a template gives you a licence to use it. It does not give you ownership of it or of any copyright in it.

2. Website content

You may read the site, link to it, and share a link to a page. You may not copy, republish, scrape or sell our text, images, designs or logos without our written permission. Google Sheets and Excel are trademarks of their owners. Nalekur is not affiliated with them.

3. Your licence to use a template file

When you buy a template and the payment is completed, we give you a personal, non-exclusive, non-transferable licence to use that template for your own personal use, or in one business or freelance practice that you own or run.

You may:

use the template for yourself, or for your own single business or freelance work, including entering your own clients' figures as part of your normal work;
edit it freely for those uses;
keep copies for your own backup, on your own accounts and devices.

You may not:

resell, share, give away, upload, post, publish or distribute the template or any copy of it, whether edited or not (this includes posting it online, putting it in a shared drive or folder open to others, and sharing your download link);
include it in, or sell it as part of, another template, bundle, course or product;
use it, or any part of it, to create, build or sell a competing template product;
present it as your own work, or remove copyright or other notices;
use it, or put it into any tool, to train or build an AI model or dataset;
use our name to promote your own products.

4. When your licence ends

If we refund your order, or if you breach this notice, your licence ends. We may tell you so by written message. You must then stop using the template and delete your copies.

5. Sample data and professional advice

Templates contain invented sample data for illustration. They are organising tools and are not accounting, tax, legal or financial advice. See the Terms of Sale.

6. Reporting copying, and permission requests

If you think someone is copying, selling or posting our files or site content, or if you think something on our site infringes your rights, write to support@nalekur.com with the subject line "Copyright". Tell us:

what the material is and where you found it (a web address if there is one);
what right you say is affected and why;
the email address we should reply to.

We handle these requests by email. We reply in writing within 2 working days. We may remove or disable access to material, or end a licence, while we look into it.

To ask for permission to use our content in a way this notice does not allow, write to the same address.
